- Throughout Mr. Stewart's successful ventures in finance, commercial real estate, land and resort development, he has been known a visionary leader and entrepreneur. He has been a founder and general partner of several successful companies and through his career has directly raised over $150 million in capitalization for land, resort, office and other commercial real estate ventures. Mr. Stewart successfully developed, owned and operated resort destinations in California-including Bass Lake Resort, Ahwahnee Resort, Merced River Resort, Pismo Creekside Resort and Greenbrier River Resort. While operating these resorts, Mr. Stewart pioneered a cooperative-competition business model (known as 'rights to use') that vastly increased sales and profits for participating 'coopetition' members-a highly successful model which later became known as the 'time-share' industry. In recent years, Mr. Stewart has invested significantly in positioning within the loyalty industry, and in placing Source, Inc. at the center of innovation and intellectual property in the area of loyalty-based transactions. He is the founder and visionary of Source, Inc., LoyaltyShare™ and Help Worldwide™ - each of which applies a coopetition business model to the loyalty industry. Top of page

- Ms. Stewart oversees and integrates key aspects of company operations, coordinating the diverse directives and demands of the technology, legal, finance, and operations departments. She has a strong background in technology and programming and directs the development and maintainance of the company's broad and intricate technology platform. She is also agile in contract and securities law, and helps facilitate the legal and operational integration of clients and initiatives. She oversees company-wide operations, providing operational, organizational, and budgetary oversight. Ms. Stewart holds a Bachelor of Science in Business Law from California State University, Northridge, and developed much of her organizational acumen through years as an Assistant Director in the independent motion picture industry. As a member of the executive team and company co-founder, Ms. Stewart's business acumen and analytical skills are a significant company asset. Top of page

- Mr. Herszbein brings global experience in both corporate and securities laws from Europe and the United States. Mr. Herszbein started his career as a securities lawyer in two of the most recognized international law firms: Clifford Chance and Shearman & Sterling (Capital Markets and Financial Law Departments). While a practicing lawyer, Mr. Herszbein previously held a position as Assistant Professor of Law teaching corporate, securities and bankruptcy law at the University of Paris-Pantheon Assas, School of Law. Mr. Herszbein then proceeded to apply his legal knowledge first at Nara Bank, a competitive nationwide bank headquartered in Los Angeles, California and then at Aerium, LLP, a real estate investment fund incorporated in England. Through his years of legal experience, Mr. Herszbein developed strong skills in securities (IPOs, Take over), corporate (M&A), contract, IP (Trademark and Patents) and labor laws. Mr. Herszbein holds a Juris Doctor (J.D.) cum laude from the University of Paris I-Pantheon Sorbonne, and earned a Master in Business Law and a Master in International Law, both from the University of Paris, School of Law. In the United States, Mr. Herszbein received a Master of Laws (LL.M.) from the University of California Los Angeles (UCLA), School of Law. - For nearly 20 years Mr. Popowitz has delivered strategic business and legal counsel to senior executives in the areas of corporate, intellectual property, litigation, insurance, real estate, and business law. He as negotiated creative solutions for complex business agreements with Fortune 500 companies and government agencies, provided leadership in risk management and litigation minimization, and advised domestic and foreign corporations in matters of director and officer responsibility, privacy, labor and employment law. He is the author of "Nano-Tex: How an Accidental Startup Got Funded, Perfected its Product and Saved Not Only Burlington Industries, but maybe the Entire U.S. Textiles/Apparel Industry" (The USC Technology Commercialization Alliance, Anthology of High Technology, September 2003) and "Compromising Positions: The Good Faith Requirement of Section 998 Offers to Compromise is Judged Case by Case" (Los Angeles Lawyer, December 1995). - In the banking and transactions industry, Mr. Van Scoy holds a global reputation for his leadership and management talents during successful launch and growth of innovative new products and initiatives. While at EDS in 1991, Mr. Van Scoy directed the operations and processing for the landmark launch of the GM Card (a loyalty rewards card towards auto purchases at General Motors, launched with the slogan, "Turn plastic into steel"). Under Mr. Van Scoy's charge, an operational team quickly swelled to meet a huge, unexpected demand for the cards-where over 2 million GM Card applications were processed in only 45 days. Mr. Van Scoy has recently returned to the US from London, where he served as Managing Director for both TSYS and First Data-the world's two largest credit card processors. During the launch of TSYS Europe, he oversaw the operation from the ground up-including staff, data center and logistics-while supporting the conversion of over 11 million accounts for the Royal Bank of Scotland and five other major banks. During the regional, national and global launch of Help Worldwide, Mr. Van Scoy will ensure the full operation and integration of technology, fulfillment, quality control, customer service, client relationships and strategic partners. As a result of Mr. Van Scoy's strategic relationships, top companies in the industry are already considering partnership and possible financing of various aspects of the Help Worldwide technologies and its entire integrated business model.
